I. INTRODUCTION

This handbook ensures compliance with legal requirements and our set standards of business conduct. All typists, employees and independent contractors are expected to read and comprehend this handbook, comply with these guidelines in routine activities, abide with all germane policies and procedures, and ensure that you adhere to the set standards.

Our policies and procedures will be updated from time to time for any inconsistencies, and hence, this code of conduct and ethics is subject to modification and will be reviewed in a timely fashion.

Violations of law, this Code of Business Conduct and Ethics, or other Company policies or
procedures will not be tolerated and will be grounds for dismissal.

• Company values its staff and will assist them in developing potential and relevant skills to promote and enhance the company’s performance.

• Company aims to recruit the best candidate suited for each job position.

• Honesty, integrity and ethics are the key to our organizational work culture and is
important in our organization and plays key role in your appraisal. Personal interests
should never come before the interests of the company.

II. COMPANY POLICIES AND CODE OF ETHICS

General:
• Company’s goal is to provide a secure and congenial team. Misusing controlled
substances, or selling, distributing, possessing, using or being under the influence of
illegal drugs and alcohol is absolutely prohibited.

• Because each of us is a representative of the Company, onsite staff must report to work
properly groomed and wearing appropriate clothing. Onsite employees are expected to
dress neatly and in a manner consistent with the nature of the work performed.

• No typist, contractor or other Employee shall distribute or circulate any unauthorized,
electronic, written or printed material to anyone at any time.

• The Company and its client’s Confidential Information is a valuable asset. Confidential
information includes product architectures; source codes; product plans and road maps;
names and lists of customers, customer’s audio/video files and transcripts and/or other
relevant information. This information is the property of the Company and its clients and
must be protected and safeguarded, whether by patent, trademark, copyright, trade secret
or any other laws. All confidential information must be used for Company business
purposes only and must be safeguarded.

• NDA: As you sign an agreement to protect and hold confidential the Company's or its
clients’ proprietary information, this agreement remains in effect for as long as you work
for the Company and after you leave the Company. Under this agreement, you may not
disclose the Company and/or its clients’ confidential information to anyone or use it to
benefit anyone other than the Company without the prior written consent of an authorized
Company officer.

• No Confidential Information is to remain on off-premise computers. Files are data are
maintained on Company servers and may be viewed via your login and password.

Usage of electronic gadgets:

• Protecting the Company’s assets is a key responsibility of every employee and
independent contractor. Care should be taken to ensure that assets are not
misappropriated, and any information outside the company premises must not be loaned
to or viewed by others, sold or donated, without appropriate authorization. All Company
employees and contractors are responsible for the proper use of Company assets, and
must safeguard such assets against loss, damage, misuse, or theft.

• Employees may not use Company assets for personal use nor may they allow any other
person to use Company assets.

• Posting or discussing information concerning the Company’s services or business on the
Internet without the prior written consent of the Company’s Business Manager is
prohibited.

• Unacceptable uses of the onsite computer facilities include but are not limited to:

o Intentional damage
o Downloading music, videos or computer games
o Surfing the web
o Other personal commercial activities
o Accessing, saving or transferring pornographic material
o Sending spam/chain emails; sending threatening or intimidating emails.
o Disabling or corrupting software
o Transmission of any company or client information without prior
authorization

• Unacceptable uses of remote (non-Company) computer facilities include but are not
limited to:

o Intentional damage of Company data,
o Accessing, saving or transferring pornographic material
o Sending spam/chain emails; sending threatening or intimidating emails.
o Disabling or corrupting software
o Transmission of any company or client information without prior
authorization
o Alteration/damage to other employees’ information.

• Onsite employees’ cell phones are to be switched off at all times in the production bay. Calls can only be attended outside the production bay and only be continued if important
as it hampers the concentration and productivity of the employee. Employees are free to
make use of their cell phones during lunch and/or break times. Important calls may be
received at the company’s contact number.

Performance:

Company takes the performance of its staff very seriously and will take every step to ensure that the employees have all the training and tools needed to do their job to their maximum potential.

• Performance appraisals/reviews will be held each month for new employees and
contractors for a period of 6 months.

• Existing employees and contractors will go through performance reviews at least
every 6 months.

• Quality of each transcript will be audited randomly each week. Customers will be
asked to rate typists’ performance.

• Employees must adhere to the targets allotted to them while improving the quality of
work at the same time.

• Contractors shall provide Company with available work times and shall immediately
notify Company of any change in schedule so that pending jobs may be reassigned.

• A performance issue is any situation that will give rise to a view that an employee or
contractor is not performing work according to the required standards and as per their
job description. An action plan on improvement of performance will be formulated
by management regarding employee or contractor. Failure of improvement may result
in termination.

Attendance/Leaves/Vacation time:

• Onsite Employees are expected to report to work at their shift reporting time.
Reporting to work after 10 minutes after the start of the shift start time will result
in automatic half-day leave deduction.

• Apart from national holidays, onsite employees will be eligible for 1 paid day off
per month.

• Attendance and communication regarding your work is essential. Employees and
Contractors are responsible for communicating proposed absences/leaves in
advance to management.

Termination of Services:

• Company can terminate the services of an Employee or contractor with at any
time.

• Termination due to cause including but not limiting to the breach of the code of
conduct will not require any notice.

• Onsite Employees are responsible for providing 1 week’s notice before
terminating his or her services;

III. BREACH OF COMPANY POLICIES

In the event any of the above policies is breached, the matter should be brought to the
management’s notice immediately.

• Any misconduct or performance issue must be:

o Brought to management’s notice immediately

o Must be presented in a manner with sufficient detail so that the management
and concerned parties are able to understand the issues and/or allegations.

o Each breach of the code will be noted in the employee personnel records and
may adversely affect the appraisal.

• Unacceptable conduct or behavior includes but is not limited to:

o Failure to comply with any Company policy or practice.

o Refusal to perform any task allotted and consistent with the employee’s
employment agreement.

o Any act that constitutes misconduct onsite or off-premises, which may
adversely affect Company’s reputation.

• Breach of this code of conduct will result in termination or a review of the incident
depending on the circumstances. Repeated breach of this code will result in
termination.

Quicktate CONFIDENTIALITY AGREEMENT

Quicktate CONFIDENTIALITY AGREEMENT

1. Sharper Ideas, dba Quicktate (hereinafter "Quicktate") represents that it owns or controls certain voice files, written files and other information relating to its business and to its customers’ affairs, which is proprietary and confidential.

2. The parties are desirous of entering into negotiations with or doing business with each other, but Quicktate desires to protect its practices, methodology, customer lists, customer data, customer’s leases, concession agreements, contracts, records, software, accounting and financial data and all other confidential information which may come into your knowledge or possession (hereinafter referred to as Confidential Information).

3. Purpose Clause: Quicktate is willing to disclose the Confidential Information to you, or allow you access to such Confidential information in the course of your employment or
relationship with Quicktate.

4. Quicktate agrees to disclose Confidential Information to you on the following terms and conditions:

• You agree not to disclose any Confidential Information to any third party, or use
any such Confidential Information other than for the purposes set forth in the Purpose Clause above, except with the express written consent of Quicktate.

• Notwithstanding the foregoing, you may disclose Confidential Information
pursuant to the requirement of a Governmental Agency, by operation of law or
pursuant to court order.

5. The following information shall not be deemed Confidential Information and you shall
have no obligation with respect to information which:

• is in the public domain at the time of disclosure or later enters the public domain
without your involvement or actions, or

• is received from a third party without your involvement, or

• is presently known by you or is acquired or developed independent by of the
disclosures made pursuant to this Agreement.

6. The Confidential Information shall at all times remain the property of Quicktate. At any time at Quicktate’s option or promptly upon Quicktate’s request, you shall return to Quicktate any written or otherwise recorded Confidential Information that may be in your
posession, and no portion of such Confidential Information shall be retained in any form
by you.

7. You shall not say anything negative about Quicktate in public or private and shall not
request any Quicktate customer to cancel their business with Quicktate. You shall not divert or try to divert any Quicktate customer to another similar company or help any other similar company obtain any business from any Quicktate customer without the written
consent of Quicktate.
